In Sri Lanka, a Private Limited Company (Pvt Ltd) generally cannot legally collect money from the general public as deposits or investment funds and promise fixed returns/profits unless it operates under a specific regulatory framework and has the required licenses. The applicable law depends on how the money is being raised. 1. Accepting public deposits (most restrictive) If a company takes money from the public and promises to repay it with interest, that is usually considered deposit-taking or finance business. Under the Finance Business Act No. 42 of 2011, only licensed institutions such as: -Licensed Commercial Banks -Licensed Specialized Banks -Licensed Finance Companies -Certain specifically exempt institutions may accept deposits from the public. Collective investment schemes (investment funds) If investors contribute money to a pooled fund that is then invested (for example, into agriculture, plantations, livestock, hydroponics, etc.), the arrangement may fall under a Collective Investment Scheme (CIS) regulated by the Securities and Exchange Commission (SEC). Such schemes require SEC approval and must be managed by licensed entities. A company cannot simply create a public investment fund and collect money from anyone without complying with SEC regulations. 3. Issuing shares A Pvt Ltd can raise money from its shareholders by: Issuing shares to existing shareholders Bringing in private investors Private placements However, a Private Limited Company cannot generally offer its shares to the public like a listed public company can. 4. Joint venture / profit-sharing agriculture projects Some agricultural projects are structured as: Partnership agreements Joint venture agreements Profit-sharing contracts Revenue-sharing arrangements These can be legal if properly structured. However, if the arrangement effectively functions as "give us money and we'll pay you a guaranteed return," regulators may view it as an unauthorized deposit-taking scheme regardless of the label used. The Central Bank has specifically warned that calling funds "investments," "placements," or other names does not avoid the law if the arrangement has the characteristics of a deposit. —Agriculture-specific example— Suppose a Pvt Ltd says: "Invest Rs. 100,000 in our farm. We guarantee 18% per year and return your capital after 3 years." That may be viewed as unauthorized deposit-taking unless the company is operating under an approved regulatory framework. However, if it says: "Buy shares in our company and participate in profits as a shareholder." or "Invest in an SEC-approved investment vehicle." that is a different legal structure. Practical answer: If your goal is to create a company that collects public money and invests it in agriculture, the main legally recognized routes are: 1. SEC-regulated Collective Investment Scheme (fund structure). 2. Public company/share issuance structure (subject to company and securities laws). 3. Licensed financial institution structure (not a standard Pvt Ltd). 4. Private investment/joint venture arrangements with a limited number of investors, carefully structured by lawyers.
