  • Summary 👆🏻MCA Updates MCA has rolled out updated versions of forms through official gazettes listed below, along with their layouts.   • Rule 11(5) of the Companies (Audit and Auditors) Rules, 2014 deals with fund transactions and ultimate beneficiaries**. It requires auditors to verify whether a company has: 1. Advanced or received funds through intermediaries with the intent to benefit other entities. 2. Disclosed such transactions in its financial statements. 3. Ensured transparency in fund movements to prevent financial misconduct. ### Types of Transactions Covered #### 1. Lending or Investing Funds Through Intermediaries - If a company loans or invests money in another entity (Intermediary) with the understanding that the Intermediary will further lend or invest in a specific third party (Ultimate Beneficiary). - Example: Company A lends ₹10 crore to Company B, which then invests the same amount in Company C. If Company A had an agreement with Company B to direct the funds to Company C, this must be disclosed. #### 2. Receiving Funds with an Understanding to Redirect Them - If a company receives funds from another entity (Funding Party) with the understanding that it will further lend or invest in a specific third party (Ultimate Beneficiary). - Example: Company X receives ₹5 crore from Company Y, with an agreement that Company X will invest the amount in Company Z. This transaction must be disclosed. #### 3. Providing Guarantees or Securities for Ultimate Beneficiaries - If a company provides guarantees or securities on behalf of another entity that is the Ultimate Beneficiary. - Example: Company P provides a corporate guarantee for a loan taken by Company Q, but the actual beneficiary of the loan is Company R. This must be disclosed.
